5. Intellectual Property

You retain ownership of all content, materials, and intellectual property you provide to us. By providing content, you grant us a license to use, modify, and display such content solely for the purpose of providing our services.
5.2 Our Work
Upon full payment, you will receive ownership of the final deliverables as specified in your service agreement. We retain the right to use completed work for portfolio and marketing purposes unless otherwise agreed in writing.
5.3 Third-Party Materials
Any third-party materials, including but not limited to fonts, images, plugins, or software, remain the property of their respective owners and are subject to their own licensing terms.
6. Project Timelines
Project timelines are estimates and may be affected by factors including but not limited to client response times, scope changes, third-party dependencies, and unforeseen technical issues. We will make reasonable efforts to meet agreed timelines but cannot guarantee completion dates.
7. Revisions and Changes
Revisions and changes to projects are subject to the terms outlined in your service agreement. Additional revisions beyond the agreed scope may incur additional fees. We reserve the right to charge for significant changes to approved work.
8. Hosting and Maintenance
If we provide hosting or maintenance services:
- We will make reasonable efforts to ensure uptime and performance
- We are not responsible for downtime caused by factors beyond our control
- Regular backups are performed, but clients are encouraged to maintain their own backups
- Hosting services are subject to separate terms and may be terminated for non-payment
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service in question
- We are not liable for any indirect, incidental, special, or consequential damages
- We are not responsible for loss of data, profits, or business opportunities
- We are not liable for issues arising from third-party services, software, or platforms
10. Warranties and Disclaimers
We provide services "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements. You acknowledge that website performance and search engine rankings are subject to many factors beyond our control.
11. Termination
Either party may terminate a service agreement with written notice. Upon termination:
- You remain responsible for all fees incurred up to the termination date
- We will provide you with completed work and materials as of the termination date
- We may suspend or terminate services immediately for non-payment or breach of these Terms
12. Confidentiality
We will maintain the confidentiality of your business information and will not disclose it to third parties except as required by law or with your written consent. This obligation survives termination of our services.
13. Indemnification
You agree to indemnify and hold harmless Greenwood Online Services and Consulting, LLC, its employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of our services
- Content you provide to us
- Your violation of these Terms
- Your violation of any third-party rights
14. Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, internet failures, or government actions.
15. Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Grand Forks, North Dakota.

These Terms shall be governed by and construed in accordance with the laws of the State of North Dakota, without regard to its conflict of law provisions.
17. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.
18. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with any service agreements or proposals, constitute the entire agreement between you and Greenwood Online Services and Consulting, LLC regarding our services.
